About these terms
These Terms of Service (“Terms”) form an agreement between you and Augmentiv Labs, Inc., a Delaware corporation with offices at 1301 Sansome Street, San Francisco, CA 94111 (“Augmentiv”, “we”, “us”). They apply whenever you use our website, platform or services — including submitting experiments, working with partner labs and receiving results.
If you use Augmentiv on behalf of an organization, you confirm you are authorized to accept these Terms for it, and “you” includes that organization.
Who can use Augmentiv
Augmentiv is built for professional research. To use it you must:
- be at least 18 and able to enter a binding contract;
- use the service for legitimate research or business purposes; and
- not be prohibited from receiving our services under applicable sanctions or export laws.
Your account
You’re responsible for the accuracy of your account details, for keeping your credentials secure, and for everything that happens under your account. Tell us promptly at security@augmentivlabs.com if you suspect unauthorized access.
How experiments work
When you submit an experiment, we work with you to turn it into a runnable protocol, scope the equipment, materials, timeline and cost, and share a quote. Work begins only once you approve that quote.
We then place the experiment with a vetted partner lab, verify its execution with computer vision against the approved protocol, and deliver your data together with a run record.
Your responsibilities
You agree that every experiment you submit:
- is lawful in every relevant jurisdiction and has any approvals, permits or ethics clearances it requires;
- does not involve prohibited materials or activities, including select agents and toxins, controlled substances without the required licences, human-subjects or animal research without the required approvals, and any work intended to cause harm;
- is described accurately, including any hazards, so labs can run it safely; and
- does not infringe anyone else’s intellectual property.
We may decline, pause or stop any experiment we reasonably believe is unsafe, unlawful or outside these Terms.
Fees and payment
Fees are set out in your approved quote or order. Unless stated otherwise, invoices are due within 30 days and fees exclude taxes, which you are responsible for. If an experiment must be repeated because of an execution error verified by Augmentiv, we will re-run it at no additional cost.
Your data and intellectual property
You own your science. Your protocols, materials information, results and run records (“Your Content”) belong to you. You grant us a limited license to use Your Content only to provide, secure and support the service for you.
We never train on or share your quantitative results. With consent, we may use de-identified video of operator movements, paired with protocols, as described in our Privacy Policy. Augmentiv owns its platform, software, verification models and brand.
Partner labs
Partner labs are independent organizations that meet our vetting standards and agree to our partner terms, including confidentiality and capture rules. Augmentiv coordinates and verifies their work; each lab remains responsible for its own facilities, staff and compliance.
What verification does — and doesn’t — mean
Verification confirms that an experiment was executed according to the approved protocol, and documents every step and deviation in the run record. It does not guarantee a particular scientific outcome, and it is not a substitute for your own scientific judgment or any regulatory validation you require.
Confidentiality
Each party will protect the other’s confidential information with at least reasonable care, use it only for the purposes of this agreement, and disclose it only to people who need it and are bound by similar obligations.
Warranties and disclaimers
We will provide the service with reasonable skill and care. Except as expressly stated in these Terms or your order, the service is provided “as is”, and we disclaim implied warranties to the extent permitted by law.
Limitation of liability
To the extent permitted by law, neither party is liable for indirect or consequential losses, and each party’s total liability under these Terms is limited to the fees paid or payable for the experiment giving rise to the claim. Nothing limits liability that cannot be limited by law.
Ending the agreement
You can stop using Augmentiv at any time. Either party may end these Terms if the other materially breaches them and doesn’t fix the breach within 30 days of notice. Experiments already approved will be completed or refunded as set out in your order.
Changes to these terms
We may update these Terms as the service evolves. We’ll post the new version here and, for material changes, notify you at least 30 days in advance. Changes never apply retroactively to experiments already approved.
Governing law
These Terms are governed by the laws of the State of California, and disputes will be resolved in the state and federal courts located in San Francisco County, California, unless your order says otherwise.
